Darify Agency Contract

This is the agreement between Darify and your agency, accepted during onboarding by someone authorised to bind it. It sets out who may use Darify, what it may be used for, what is prohibited, and what happens if an agency breaches it. It is accepted together with the Terms & Conditions and the Data Processing Agreement.

    What you are agreeing to

    This contract is between Darify FZ-LLC and your agency. By accepting it you confirm you are authorised to bind your agency, that the details you provide during onboarding are true, and that you accept this contract together with the Terms & Conditions, the Privacy Policy and the Data Processing Agreement. Where your agency has a signed order form or subscription agreement, that document prevails on conflict.

    Who may use Darify

    Darify is for licensed real-estate businesses operating in the UAE. Your agency must hold a valid DED trade licence and current RERA registration, and every agent or broker you add must hold valid broker credentials. We verify these with the Dubai Land Department. Access depends on those credentials staying valid — if a licence lapses, expires or is withdrawn, access to the affected accounts stops until it is restored.

    What you may use it for

    Managing your own listings, leads, contacts, deals and client communications; advertising properties you are lawfully instructed to market; and running your team. You may only enter data you are entitled to hold, and you may only market properties you have a genuine, current instruction to market.

    What you must not do

    Do not: list a property you have no instruction for, or advertise one that is already sold, rented or withdrawn; publish a Trakheesi permit number that is not valid for that listing; misstate a price, size, plan status, permit or ownership detail; use another person’s credentials or share your own; add, buy or import personal data you have no lawful basis to hold; contact people who have asked not to be contacted; use WhatsApp messaging for bulk unsolicited marketing; scrape or bulk-extract data from the platform; use Darify to conceal the source of funds, to facilitate a transaction you know or suspect to be unlawful, or to evade sanctions, AML or tax obligations; or attempt to reach another agency’s records.

    The people in your records are not yours

    Buyers, sellers, tenants and creators whose data you hold in Darify have rights over that data under the UAE Personal Data Protection Law. Your agency is the controller of the records it enters; Darify processes them on your instructions under the Data Processing Agreement. You are responsible for having a lawful basis to hold each record, for honouring access, correction and deletion requests you receive, and for telling us promptly if a request reaches you that concerns data we process for you.

    If you breach this contract

    What we do depends on what happened. For most issues we will contact you first and give you a reasonable opportunity to put it right. Where a breach is serious, repeated, or presents a risk to other users, to a member of the public, or to Darify, we may act immediately and without notice: restricting a feature, suspending an individual account, suspending your whole agency, removing offending listings or content, or terminating your agreement. Suspension for breach does not pause or refund your subscription.

    Unlawful conduct and reporting

    Where we are required by UAE law to report a matter to a competent authority — including the Dubai Land Department, the UAE Financial Intelligence Unit, or a court or regulator acting under a valid order — we will do so, and we may be prohibited by law from telling you that we have. Where reporting is permitted rather than required, we will use judgement and will normally tell you unless doing so would prejudice an investigation or put someone at risk. We do not report a matter to an authority merely because a commercial dispute has arisen between us.

    Your data if we suspend or you leave

    Suspension does not delete your data. On termination, an agency admin may export the agency’s records from Settings → Your data for 30 days, after which they are erased or anonymised in line with the Privacy Policy. Some records must be retained for longer where UAE real-estate, anti-money-laundering or tax rules require it; where that applies we keep only what the rule requires, for only as long as it requires, and we will tell you the basis and the date it expires. We do not withhold your data as leverage in a payment dispute.

    Responsibility for what you publish

    You are responsible for the accuracy and legality of everything your agency publishes or sends through Darify, including listing content, permit numbers, advertising and messages to clients. If a third party brings a claim against Darify because of content you published, data you entered without a lawful basis, or a breach of this contract by your agency, you will cover the losses and reasonable costs that result. This does not apply to the extent the claim arises from our own failure.

    Changes, term and governing law

    We may update this contract; material changes are notified in advance and we will ask you to accept the new version. This contract runs for as long as your agency holds a Darify account. It is governed by the laws of the United Arab Emirates and subject to the courts of Dubai. Questions: legal@darify.ae.
